Terms of Service and General Terms of Sale

Zuletzt aktualisiert: 06.11.2026

Version of 6 November 2026. These terms govern the use of the Tagsonne B2B platform (tagsonne.eu) and the sale of goods ordered through it.

§1. General provisions

1. The platform is operated by E Inzyniering Sp. z o.o., registered in Poland (the “Operator”). The seller is the company named as seller on the proforma, as a rule the Operator (the “Seller”). Registration details (address, tax ID, court register number) are given on the Contact page and on proformas and invoices.
2. The platform serves only businesses established in the European Union (the “Customer”). We do not sell to consumers.

3. By opening an account or placing an order, the Customer confirms that the purchase is made for professional purposes related to its business activity.

4. Contact: [email protected] and the phone number on the Contact page.

§2. Trade account

1. The account is free of charge. It is opened by a person authorised to act for the Customer, who provides true company details, VAT number and contact data.
2. We verify the VAT number in the VIES system. We may ask for documents confirming the business, refuse to open an account or block an account if the data are untrue or these terms are breached.

3. The first user is the account owner and may invite colleagues with the “Purchasing” and “Accounting” roles. The Customer is responsible for the actions of its users and for keeping passwords confidential.

4. Using the platform requires an up-to-date web browser with JavaScript and cookies enabled and an active e-mail address. Providing unlawful content is prohibited.

5. The Customer may delete the account at any time by writing to [email protected]. This does not affect orders in progress.

§3. Prices and offers

1. Catalogue prices are net prices (excluding VAT) in EUR. PLN prices are converted at the average NBP rate shown on the platform. The price tier (unit, pallet, container) depends on the quantity ordered.
2. Prices, stock levels and lead times in the catalogue are commercial information and an invitation to conclude a contract, not an offer within the meaning of the Polish Civil Code.

3. Project prices are set individually based on the Customer’s request. A project offer is valid until the date stated in it.

§4. Orders and conclusion of the contract

1. The Customer places an order in the cart or by accepting a project offer in the customer portal. After the order is placed, the Seller issues a proforma.
2. The proforma is valid for the period stated on it. During that time the ordered goods remain reserved.

3. The sales contract is concluded when the full proforma amount is credited to the Seller’s bank account. If payment is not made on time, the order is cancelled and the reservation released.

4. The Seller may refuse to fulfil an order, in particular if the goods have become unavailable or the Customer’s data raise doubts. Any payments received are refunded without delay.

§5. Payment and VAT

1. Payment is made as 100% prepayment by bank transfer against the proforma, unless otherwise agreed in writing.
2. Customers from Poland receive a proforma and invoice with Polish VAT. Customers from other EU countries with a VAT number valid in VIES are invoiced at 0% as an intra-Community supply of goods (reverse charge).

3. For own collection (EXW / FCA), a Customer from another EU country provides documents confirming that the goods left Poland. Without them the Seller may charge Polish VAT.

4. Invoices and proformas are available in the customer portal and sent by e-mail.

§6. Delivery and collection

1. Incoterms 2020 rules apply. DDP: delivery to the place indicated in the EU, with transport charged according to the zone price list or as confirmed by a manager. EXW / FCA: own collection from the warehouse in Pruszków or from the port.
2. Delivery dates are estimates unless we confirm them in writing as binding.

3. On receipt the Customer checks the shipment. Any damage must be noted on the consignment note (CMR) or a damage report and reported to us with photos within 2 working days.

4. The risk of loss of or damage to the goods passes to the Customer in accordance with the agreed Incoterms rule. Title to the goods passes to the Customer on delivery, provided the full price has been paid.

§7. Warranty, claims and returns

1. The goods are covered by the manufacturer’s warranty under the terms of the manufacturer’s warranty card. We handle warranty claims as an intermediary.
2. Claims are filed in the customer portal (Orders → Claim) with serial numbers and photos. We respond within 2 working days of receiving a complete claim.

3. The Seller’s statutory liability for defects (rękojmia) is excluded to the extent permitted by law. This does not limit rights under the manufacturer’s warranty.

4. Undamaged goods may be returned within 14 days of delivery, in the original packaging, with the prior consent of a manager and on the terms agreed with them.

§8. Liability

1. The Seller’s liability is limited to the net price of the goods concerned and excludes lost profits, except for damage caused intentionally.
2. Technical data of the products come from the manufacturers. The Customer is responsible for selecting equipment for a specific installation.

3. We make every effort to keep the platform running without interruption but are not liable for technical breaks and failures caused by circumstances beyond our control.

§9. Comments on the platform

Comments and complaints about how the platform works can be sent to [email protected]. We reply within 14 days.

§10. Personal data

The processing of personal data is described in the Privacy policy, and the use of cookies in the Cookie policy.

§11. Final provisions

1. These terms are governed by Polish law. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
2. Disputes are settled by the court having jurisdiction over the Seller’s registered office.

3. Individual arrangements between the parties confirmed in writing or by e-mail take precedence over these terms.

4. We may change these terms for important reasons, such as changes in the law or in the scope of services. We announce changes by e-mail or in the customer portal at least 14 days in advance. Orders placed before a change are fulfilled under the previous terms.
